We welcome a new staff member to WVSDA

We would very much like to welcome Jo Löfgren to the staff team at WVSDA. Jo has joined us as the Policy and Advocacy Officer and comes with an extensive policy analysis and research background, having worked for a number of international NGOs.

The Policy & Advocacy Project is a new four-year initiative funded by the Big Lottery. It aims to disseminate policy information and facilitate dialogue, networking and advocacy initiatives for the benefit of the third sector in Wandsworth vis-à-vis the local, regional and central governments. It will do this by bringing together the main actors in key policy areas of particular relevance to the third sector in Wandsworth to map information gaps, deliver policy briefings, promote joint initiatives and formulate advocacy priorities.

If you would like to contact Jo, please e-mail her on policy@wvsda.org.uk

New Governance Assessment Framework

A new framework designed to support boards of trustees and chief executives to assess their governance practices and processes with best practice has just been launched - it is called Investing in Governance.

Compliant with the Code of Good Governance, the framework can be used to identify the changes boards of trustees wish to bring about to increase their effectiveness and performance.

The Investing in Governance self-assessment framework contains 69 governance practices designed to reflect the breadth and depth of processes involved in running a board, including recruiting and inducting board members, through to supporting and reviewing their individual performance and that of the whole board.

Author, Stefan Kuchar, said ”Our mission is to improve the governance of charities and social enterprises across the country and Investing in Governance builds on the foundations of the Good Governance Code.”

On the dedicated website there are details of how to download a copy of the Investing in Governance self-assessment framework, as well as how the framework can be used as a means of obtaining the Investing in Governance Quality Mark.

The Investing in Governance website can be found at www.investingingovernance.org.uk

From 1st October, important changes to Company Law come into effect, affecting all voluntary organisations that are Companies Limited by Guarantee

Change to conflicts of interest under company law
Under provisions of the Companies Act 2006 coming into effect on 1st October, there are statutory duties to avoid conflict of interest, not accept benefits from third parties and declare an interest in transactions with the company. Certain potential conflicts of interest would need to be approved by company members or the board of directors, which could include for instance a local authority councillor on the board of a local organisation. For companies in particular also subject to charity law, the implications are still a little unclear, but for preliminary information see: http://www.sandy-a.co.uk/managing.htm#codir-conflict

Name on company premises
From 1 October 2008 the company's registered name must be visible to visitors at the company's registered office. http://www.sandy-a.co.uk/managing.htm#coname-premises

Company details on paper and electronic documents
From 1 October 2008 the Companies (Trading Disclosures) Regulations 2008 set out new rules for what must be disclosed on company documents. http://www.sandy-a.co.uk/managing.htm#codetails-documents

General duties of company directors
Updated 18/11/07. This information updates s.13.2.1 in The Voluntary Sector Legal Handbook 2nd edition. The Companies Act 2006 includes for the first time a statutory statement of the duties of company directors. Some of these came into effect on 1 October 2007, and the remainder are in effect from 1 October 2008.
